A client is understood to be any individual or legal entity that commissions CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. to prepare a legal document in the different areas offered on the website.<\/p>

QUOTE AND CONTRACTING<\/b><\/p>

As long as CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. has not had the opportunity to assess the nature of the complete document desired, any quote provided regarding it, as well as fees and\/or the delivery date, will not be binding and may be withdrawn or modified at any time.<\/span><\/p>

It is understood that acceptance or written confirmation includes any acceptance or confirmation sent by fax or email.<\/span><\/p>

Normally, we will confirm orders in writing. The failure to send such confirmation will not imply that the contracting has not been formalized.<\/span><\/p>

Unless the person submitting the order explicitly indicates that they are acting on behalf of a third party at the time of formalization, and unless the name and address of that third party are indicated, CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. will consider the person submitting the order as its client.<\/span><\/p>

If CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. has reasonable grounds to suspect that the client will not fulfill their payment obligation, we are authorized to request additional payment guarantees.<\/span><\/p>

DELIVERY TIME AND DEADLINE<\/b><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. will respect the agreed delivery time unless circumstances beyond its control prevent it.<\/span><\/p>

In the event that it is impossible for CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. to meet the agreed deadline because exceptional circumstances prevent it, we will be obliged to notify the client immediately.<\/span><\/p>

Delivery will be considered made at the moment when CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. sends the document to the client by email, postal mail, fax, or courier.<\/span><\/p>

In relation to the order CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. must carry out, the client is obliged to do everything reasonably necessary to enable timely delivery by us.<\/span><\/p>

MODIFICATION OR CANCELLATION OF AN ORDER<\/b><\/p>

In the event that the client makes changes or additions to an order once the agreement has been formalized, and if such changes and\/or additions are not limited in nature, which is the prerogative of CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. to determine, then we reserve the right to modify the delivery time or times and\/or the fees based on the changes, or to reject them.<\/span><\/p>

Any modification that occurs in the agreed conditions for an order once the agreement has been formalized will take effect only after the acceptance and written confirmation of the same by CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V.<\/span><\/p>

In the event that a client withdraws an order once the agreement has been formalized, the client will be responsible for the full payment of the agreed fees, unless CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. grants a discount.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. will decide the amount of this discount, which will depend on the work done up to that point.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. will deliver to the client all work completed up to that point.<\/span><\/p>

EXECUTION OF ORDERS AND CONFIDENTIALITY<\/b><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. guarantees its clients that all orders will be carried out to the best of its abilities and experience.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. has the right to contract the services of third parties, i.e., autonomous, qualified, and independent legal professionals, to carry out orders.<\/span><\/p>

Regarding the desired and entrusted quality level assigned to CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V., the client is obliged to provide all necessary information about the specific casuistic context, documentary evidence, and anything else requested by us necessary for the preparation of the order.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. undertakes to strictly maintain the confidentiality of the information provided by the client.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. undertakes to inform the independent professional(s) whose services it has contracted of their duty to ensure the confidentiality of all data they may receive.\u00a0<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. cannot be held responsible in the unlikely event that a third party breaches its commitment not to disclose the information.<\/span><\/p>

FEES, PAYMENTS, AND COLLECTION COSTS<\/b><\/p>

Some fees are published on the website; however, some will need to be quoted, as the price depends on the level of complexity of the case submitted for study.<\/span><\/p>

In addition to the offered rate, we will also apply a surcharge in the event that additional work is required, whether of an extraordinary or highly specialized nature, or must be dealt with very urgently. The above list is not exhaustive.<\/span><\/p>

Invoices will be due and payable to CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. within four weeks of the invoice date.\u00a0<\/span><\/p>

The Client will be in default of payment, without it being necessary to justify the demand for payment, if the invoice has not been paid by the due date.\u00a0<\/span><\/p>

In case of default, the Client shall bear the legal interest rate and any other collection costs, including CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V.'s administrative costs and the administrative costs and\/or commissions of CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V.'s contractor.<\/p>

CLAIMS AND DISPUTES<\/b><\/p>

The client must submit their claims in writing, detailing the reasons relating to the content, as well as a detailed explanation, and send them to CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. as soon as possible, or, at the latest, within ten business days following the delivery date. Under no circumstances will the submission of a claim exempt the client from their payment obligation.<\/span><\/p>

If the client has not made any claims within the indicated period, it will be understood that they fully accept the submitted order, and any subsequent claims will only be processed if CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. accepts them.<\/span><\/p>

In the event of a claim or dispute, CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. will formally disclose its opinion, which will be based in part on the expert opinion of the corresponding independent professional(s).<\/span><\/p>

If CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. considers the claim to be justified, whether in whole or in part, CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. undertakes to do everything possible to rectify the situation.<\/span><\/p>

LIABILITY AND INDEMNIFICATION<\/b><\/p>

A client shall only be entitled to hold CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. liable for those losses or damages that can be demonstrated to be the direct result of an error attributable to CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V.<\/span><\/p>

Under no circumstances shall CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. be liable for any other type of loss, including loss of profits, losses due to delay, or loss of profits.\u00a0<\/span><\/p>

In no way shall CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. be liable for the outcome of a judicial or administrative process where a legal document prepared by CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. has been included.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V.'s liability is limited to an amount equal to the fees it would receive for the order in question, excluding VAT.<\/span><\/p>

The client is responsible for the risk of suffering adverse consequences arising from the use of the document prepared by CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V., including personal injury and economic damages.<\/span><\/p>

CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. shall not be liable for damages or loss of documents, information, or information carriers provided by the client to CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V.<\/span><\/p>

The client shall indemnify CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. for any claim made by a third party in relation to an alleged infringement of a title of ownership, patent, or intellectual property right.<\/span><\/p>

TERMINATION<\/b><\/p>

In the event of the client's breach of its obligations under this contract, or in the event of bankruptcy, moratorium, or dissolution of the client's company, CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. shall have the right to cancel all or part of the contract, or to suspend its execution, without being entitled to any compensation.<\/span><\/p>

In the event that CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. fails to fulfill its obligations due to circumstances beyond its control, CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. shall have the right to postpone the execution of this contract or to terminate it, without being entitled to any compensation for it. Such extraordinary circumstances include, but are not limited to, fire, accidents, strikes, riots, war, transportation problems, and measures taken by competent authorities.<\/span><\/p>

COPYRIGHT<\/b><\/p>

Unless explicitly agreed otherwise, CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. shall reserve for itself the copyright of all legal documents prepared by its associated professionals.<\/span><\/p>

MISCELLANEOUS<\/b><\/p>

These general terms and conditions shall govern all legal relationships between CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. and the client, and invalidate the client's general terms and conditions, unless CORPORACI\u00d3N CENTRAL DEL IMPLEMENTACI\u00d3N SAFCO S.A. DE C.V. has agreed to accept such general terms and conditions in advance and in writing.<\/span><\/p>

ENTIRE AGREEMENT<\/b><\/p>

The fact that we do not exercise or enforce any right or provision of these terms of service shall not constitute a waiver of such right or provision.<\/span><\/p>
